By registering for, accessing, or using LiquidADS, you agree to comply with and be bound by these Terms of Service. If you do not agree, you are prohibited from utilizing our platform, services, and AI rendering engines.
To use LiquidADS, you must be at least 13 years of age. If you are under 18, you must have the consent of a parent or legal guardian. You represent and warrant that you have the authority to enter into these terms.
You agree to provide accurate, complete registration details and maintain account security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Private Beta & Invitations:
LiquidAds is currently operating in an invite-only private beta. Access is restricted exclusively to authorized accounts that have requested access and been explicitly approved by an administrator. Account registration does not guarantee platform access, and we reserve the absolute right to suspend, revoke, or deny access to any account at any time for any reason without prior notice or liability.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial advertising business purposes. This license does not grant you ownership over the software, core rendering engines, codebase, or UI designs of LiquidADS.
By uploading product photos, logos, branding assets, and other media (collectively, "Inputs"), you grant LiquidAds a worldwide, non-exclusive, royalty-free, revocable license to host, store, replicate, and process your Inputs solely to provide, operate, maintain, and secure the AI generation service for your account. We will never sell your Inputs or use them for third-party marketing.
Generations and modifications require account credits. LiquidADS offers free initial credits. Unused promotional credits expire based on standard tier rules. Paid credits are non-refundable unless specified otherwise by local legislation. Abuse of signup procedures to accumulate free credits will result in permanent account termination.
Subscriptions & Cancellations:
If you sign up for a monthly or annual paid subscription tier, the subscription will automatically renew at the end of each billing period unless cancelled. You can cancel your subscription at any time via your account dashboard settings. Cancellation takes effect at the end of the current billing cycle, and you will retain access to paid features until then.
Failed Generation Credits:
If an AI generation fails due to a downstream server error or backend timeout, the deducted credit(s) will be automatically refunded or re-credited to your account balance.
Taxes:
All fees listed on our website are exclusive of applicable taxes. You are responsible for paying any value-added tax (VAT), sales tax, or other governmental levies associated with your purchases.
You represent and warrant that you own or have obtained all necessary licenses, consents, and permissions to upload all product photos, logos, branding assets, and other media (collectively, "Inputs") to LiquidADS. You agree not to upload or instruct the AI engine to generate:
No Reverse Engineering & Scraping:
You are strictly prohibited from attempting to scrape, copy, modify, extract, or reverse-engineer the prompt engineering templates, the underlying creative-director generation system, the AI orchestrator, or any structural backend components of the Service.
Usage Limits & Throttling:
To ensure high platform availability and avoid API abuse, we enforce rate limits and execution limits on generations. Bypassing these limits via automated scripts, botnets, or registering multiple duplicate accounts constitutes a material breach of these terms.
LiquidADS transfers all its rights, title, and interest in and to the output images and videos (collectively, "Outputs") to you upon successful generation. However, you acknowledge and agree that:
You are solely responsible for ensuring that all campaign media generated by LiquidADS complies with the advertising policies of third-party platforms (e.g., Meta/Facebook, Google Ads, TikTok, etc.). LiquidADS is not liable if your advertising accounts are suspended or rejected due to AI-generated assets. You agree to include any legally mandated AI disclosures (e.g., labeling content as "AI-generated") required in your operational jurisdictions.
Analytics & Product Telemetry:
We collect anonymized platform usage metrics and analytics via PostHog to monitor service health, evaluate performance, and improve user interface workflows. Analytics tracking is governed by your consent preferences as set out in our Cookie Policy and Privacy Policy.
We reserve the right to suspend or terminate your account and block access to our servers at any time, with or without notice, if we suspect a violation of these Terms, non-payment of subscription fees, or activities that compromise platform security.
You agree to indemnify, defend, and hold harmless LiquidADS and its affiliates from and against any claims, losses, or liabilities arising from your breach of these terms or infringement of third-party rights.
LiquidADS PROVIDES THE SERVICE "AS IS" AND DISCLAIMS ALL WARRANTIES. In no event shall LiquidADS's total cumulative liability exceed the greater of $100 USD or the amount paid by you to LiquidADS in the twelve (12) months preceding the claim.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.
Arbitration & Class Action Waiver:
To the fullest extent permitted by applicable law, any dispute or claim relating to your use of LiquidADS shall be resolved through binding individual arbitration rather than in court, and you waive any right to participate in a class action lawsuit or class-wide arbitration.
If you believe that any content hosted or generated on our Service infringes your copyright, you may send a DMCA notice to our designated agent. The notice must include: a description of the copyrighted work, the location (URL) of the infringing material, and your contact details. We will process and remove infringing content in accordance with United States copyright laws.
